By accessing or using SheetCleaner Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the service.

These Terms constitute a legally binding agreement between you and Nexorium Tech Solutions LLP.

2. Description of Service

SheetCleaner Pro is a Google Sheets add-on that provides data cleaning and formatting tools. The service includes:

• Data cleaning functions (remove duplicates, fix formatting, etc.)
• Text processing and standardization tools
• Workflow automation features (Pro subscription only)
• Web-based account management

The service operates entirely within Google's Apps Script environment and requires appropriate Google Sheets permissions.

3. User Accounts and Subscription

3.1 Account Creation

To use SheetCleaner Pro, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Subscription Plans

• Free Plan: Limited features with usage restrictions
• Pro Plan: $4 USD per month with advanced features and unlimited usage

3.3 Payment Terms

Pro subscription payments are processed through RazorPay. By subscribing, you authorize recurring charges to your selected payment method. Subscription fees are non-refundable except as outlined in our Refund Policy.

4. Acceptable Use Policy

You agree NOT to use SheetCleaner Pro to:

• Process illegal, harmful, or malicious content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Attempt to reverse engineer, decompile, or hack the service
• Use the service for commercial resale or redistribution
• Process excessive amounts of data that could impact service performance
• Share your account credentials with unauthorized users

Violation of this policy may result in immediate account termination without refund.

5. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

5.1 No Warranties

We expressly disclaim all warranties including, but not limited to:

• MERCHANTABILITY: The service may not meet your specific needs
• FITNESS FOR PARTICULAR PURPOSE: No guarantee the service will work for your specific use case
• NON-INFRINGEMENT: No guarantee that use of the service will not infringe third-party rights
• ACCURACY: Results produced by the service may contain errors
• RELIABILITY: The service may experience downtime or interruptions

5.2 Data Processing Disclaimer

WE MAKE NO GUARANTEES ABOUT THE ACCURACY, RELIABILITY, OR SAFETY OF DATA PROCESSING OPERATIONS. You acknowledge that:

• Data cleaning operations may produce unexpected results
• The service may modify or delete data in ways you did not intend
• Results may vary depending on your data structure and content
• You are solely responsible for backing up your data before using our service

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXORIUM TECH SOLUTIONS LLP BE LIABLE FOR ANY DAMAGES WHATSOEVER.

6.1 No Liability for Damages

We shall not be liable for any:

• DATA LOSS OR CORRUPTION: Including permanent loss of Google Sheets data
• BUSINESS INTERRUPTION: Loss of productivity, revenue, or business opportunities
• INDIRECT DAMAGES: Consequential, incidental, special, or punitive damages
• THIRD-PARTY CLAIMS: Any claims arising from your use of the service
• SERVICE INTERRUPTIONS: Downtime, errors, or unavailability of the service
• SECURITY BREACHES: Unauthorized access to your account or data

6.2 Zero Liability

NEXORIUM TECH SOLUTIONS LLP SHALL HAVE ABSOLUTELY NO LIABILITY WHATSOEVER FOR ANY CLAIMS, DAMAGES, LOSSES, OR EXPENSES OF ANY KIND.

YOU ACKNOWLEDGE AND AGREE THAT YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK AND THAT WE SHALL NOT BE LIABLE FOR EVEN ONE RUPEE IN DAMAGES.

6.3 Sole Remedy

Your sole and exclusive remedy for any dispute with us is to discontinue use of the service and request a refund according to our Refund Policy.

7. User Responsibilities and Indemnification

7.1 Your Responsibilities

YOU ARE SOLELY RESPONSIBLE FOR:

• DATA BACKUP: Creating backups of all important data before using our service
• TESTING: Testing the service on non-critical data before using it on important spreadsheets
• COMPLIANCE: Ensuring your use complies with applicable laws and Google's Terms of Service
• ACCOUNT SECURITY: Protecting your login credentials and monitoring account activity
• DATA ACCURACY: Verifying the accuracy and appropriateness of processing results

7.2 Indemnification

You agree to indemnify and hold harmless Nexorium Tech Solutions LLP from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Data processing results or consequences thereof
• Any content you process through the service

8. Service Availability and Modifications

8.1 No Uptime Guarantee

We do not guarantee that the service will be available 24/7 or free from interruptions. The service may experience downtime for maintenance, updates, or technical issues.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the service at any time without notice. We may also change features, pricing, or Terms of Service with 30 days notice.

8.3 No Obligation to Maintain

We have no obligation to maintain, support, or continue providing the service. As a solo developer operation, the service depends on the availability and capacity of a single individual.

9. Account Termination

9.1 Termination by You

You may terminate your account at any time by contacting support. Upon termination, access to Pro features will cease immediately.

9.2 Termination by Us

We may terminate your account immediately for:

• Violation of these Terms or Acceptable Use Policy
• Non-payment of subscription fees
• Suspected fraudulent or illegal activity
• At our sole discretion for any reason

9.3 Effect of Termination

Upon termination:

• Your access to the service will be immediately revoked
• Your account data may be deleted after 30 days
• No refunds will be provided except as outlined in our Refund Policy
• These Terms will survive termination where applicable

10. Intellectual Property

10.1 Our Rights

SheetCleaner Pro, including all code, algorithms, design, and documentation, is owned by Nexorium Tech Solutions LLP and protected by intellectual property laws.

10.2 Your Rights

You retain ownership of your data processed through the service. However, you grant us a limited license to process your data as necessary to provide the service.

10.3 Restrictions

You may not copy, modify, distribute, or reverse engineer any part of our service.

11. Privacy and Data Handling

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

• We collect minimal data (email and subscription information only)
• We do NOT access or store your Google Sheets content
• All sheet processing occurs within Google's environment
• You are responsible for the confidentiality of your data

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

12.2 Dispute Resolution

Any disputes arising from these Terms or use of the service shall be resolved through the courts of India. You agree to submit to the jurisdiction of Indian courts.

12.3 Limitation Period

Any claims must be brought within one (1) year of the date the claim arose or be forever barred.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

13.3 No Waiver

Our failure to enforce any right or provision does not waive our right to enforce such provision in the future.

You may not assign your rights under these Terms. We may assign our rights to any third party without notice.

13.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including acts of God, natural disasters, wars, government actions, or internet service failures.
